Refund & Cancellation Policy

Last updated: November 6, 2026

1. Scope

This Refund & Cancellation Policy applies to services provided by Torres Energy Consulting LLC ("Torres Energy Consulting," "we," "us" or "our") under Professional Service Agreements, Consultancy Retainers, statements of work and similar engagement documents (each an "Agreement"). If an Agreement or its Service Level Agreement ("SLA") conflicts with this Policy, the Agreement or SLA controls. When services count as delivered is set out in our Service Delivery Policy.

2. Professional Service Agreements

Each engagement is defined by a signed Agreement that sets out the scope of work, deliverables, schedule, fees and payment terms. Fees are earned as services are performed, in line with the Agreement. Work requested outside the agreed scope is billed separately under a written change order.

3. Consultancy Retainers

Retainer fees reserve consultant availability and capacity for the retainer period. Unless the Agreement provides otherwise:

  • Retainer fees are payable in advance of each retainer period.
  • Retainer fees for a period that has started are non-refundable, whether or not the client uses all of the reserved time.
  • Unused retainer hours do not carry over to a later period.
  • Either party may end a retainer by giving the written notice set out in the Agreement. The ending takes effect at the end of the current retainer period.

4. Initial consultation fees

Initial consultation fees are non-refundable once the consultation has been held. If we cancel or reschedule an initial consultation and cannot offer a mutually agreeable new time, we will refund any consultation fee already paid.

5. Cancellation of scheduled technical audits

A client may cancel or reschedule a scheduled technical audit, site visit or advisory session without charge by giving written notice at least 48 hours before the scheduled start time.

For cancellations made less than 48 hours before the scheduled start, or when the client fails to attend or to provide agreed site access or data, Torres Energy Consulting may charge:

  • the cancellation fee stated in the Agreement or, if none is stated, the fees for the scheduled time, and
  • any non-refundable travel, accommodation, equipment or third-party costs already incurred.

Any amounts paid in advance for the cancelled audit, after deducting these charges, are credited toward a rescheduled date or refunded, as the Agreement provides.

6. Ongoing projects and milestones

Refunds, credits or adjustments for ongoing projects and milestone payments are handled solely according to the specific Agreement and SLA for that project. In general, fees for milestones that have been completed and delivered are non-refundable. If a project is ended early, the client pays for services performed and costs incurred up to the effective date of termination, as set out in the Agreement.

7. Cancellation by Torres Energy Consulting

If we must cancel a scheduled service for reasons within our control, we will offer a prompt rescheduled date or refund fees paid for the cancelled service. We are not responsible for delays or cancellations caused by events beyond our reasonable control, including severe weather, site safety restrictions, government action or travel disruption. In those cases we will work with the client to reschedule.

8. How to request a cancellation or refund

Send cancellation notices and refund requests in writing through our contact form or to the contact named in your Agreement. Include your company name, the Agreement or invoice reference and the service concerned. You may also call +1 (312) 446-2015 during business hours. We respond to refund requests within ten (10) business days.

9. Method and timing of refunds

Approved refunds are issued to the original payment method, or by bank transfer when that is not possible, within thirty (30) days of approval. We do not refund bank, wire or currency conversion charges imposed by third parties.

10. Disputes

Please contact us before starting a payment dispute or chargeback so that we can resolve the matter directly. All consulting service fees and retainers are governed by the laws of the State of Texas. This Policy is governed by Texas law as well, consistent with our Terms of Service.

11. Changes to this policy

We may update this Policy from time to time. Changes do not affect Agreements signed before the update unless both parties agree in writing.
